You agree to defend, indemnify and hold harmless VidaVital Medical and its affiliates, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, your misuse of the Website, or information you submit that is inaccurate or that you were not authorized to submit.

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Website will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts. Any dispute relating to a franchise relationship will be governed by the FDD and the signed franchise agreement, and by applicable franchise laws.

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

We may suspend or terminate your access to the Website at any time, without notice, if we believe you have violated these Terms or for any other lawful reason. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification and governing law, will survive.
